SECURE-RES Terms and Conditions

You agree that your use of the SECURE-RES systems, software and services is expressly conditioned on your agreement to the terms and conditions stated below. Your usage signifies your assent to all of these terms and conditions. All terms and conditions below apply to all business conducted by you through SECURE-RES.

1. OWNERSHIP OF DATA AND MARKS - All information and data ("Data"), and all trademarks, logos and service marks ("Marks") displayed on our sites are the exclusive property of the registered owners. Therefore, you agree that you will not reproduce, sell, transfer, modify, redistribute, retransmit, publish and/or commercially exploit the Data or Marks without the express written permission of the entity that owns the Data or Marks. Your access or use of the site does not grant, expressly or otherwise, any license or right to use any of the Data or Marks. Secure-Res has a Service Provider Agent Designation registered with the corporate office.

2. USE OF SYSTEM AND SOFTWARE APPLICATIONS - The SECURE-RES systems and software applications may only be used for the purposes indicated in the signed System and Services Agreement and no other purpose. You understand that unauthorized use, the Data or the Marks may violate applicable copyright, trademark or other intellectual property laws or other laws. You may not post or transmit any (a) libelous, defamatory, obscene, indecent, inflammatory, pornographic, threatening, discriminatory or profane material or (b) material that could constitute or encourage conduct that would be considered a violation of any law or give rise to civil liability.

3. RESPONSIBILITY - You agree that you are responsible for all uses of the systems and applications by you or those using your unique ID and password to access the systems and applications. You will be responsible for any damages caused by your improper or unauthorized use of the system or applications.

4. DATA SECURITY - Security offered on this site is based on a technology called Secure Socket Layer ("SSL"), which codifies communications between your computer and SECURE-RES systems.

5. LIABILITY - SECURE-RES makes a genuine attempt to ensure the accuracy and quality of the content contained herein; however, SECURE-RES makes no warranty, express or implied, with respect to the quality, reliability, accuracy or freedom from error of their websites or the information contained herein. All Information in this site is subject to change without notice.
SECURE-RES will not be liable for any incidental or consequential damages resulting from any changes, or from the furnishing, performance or use of this site.

6. CLIENT CONDUCT - You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not SECURE-RES, are entirely responsible for all Content that you upload, post or otherwise transmit via our services. SECURE-RES does not control the Content posted via the service and, as such, does not guarantee the accuracy, integrity or quality of such Content.
You agree that you will not use SECURE-RES systems, applications or services to:
(a) upload, post or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
(b) harm minors in any way;
(c) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
(d) forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the service or develop restricted or password-only access pages, or hidden pages or images (those not linked to from another accessible page);
(e) upload, post or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
(f) upload, post or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
(g) upload, post or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
(h) upload, post or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
(i) interfere with or disrupt the service or servers or networks connected to the service, or disobey any requirements, procedures, policies or regulations of networks connected to the service;
(j) intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
(k) promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty to animals.

7. SPECIAL ADMONITIONS FOR INTERNATIONAL USE - Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

8. NO RESALE OF SERVICE - You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, use of the service, or access to the service.

9. SECURE-RES PROPRIETARY RIGHTS - You acknowledge and agree that the service and any necessary software used in connection with the service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the service or the Software, in whole or in part.
SECURE-RES grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. You agree not to access the service by any means other than through the interface that is provided by SECURE-RES for use in accessing the service.

10. WARRANTY DISCLAIMER - NO SITE PARTICIPANT, INCLUDING, BUT NOT LIMITED TO, ANY SUCH ENTITY PROVIDING ANY INFORMATION, CONTENT OR DATA CONTAINED IN THIS SITE, MAKES ANY WARRANTY OF ANY KIND REGARDING THIS SITE AND/OR ANY INFORMATION, CONTENT OR DATA PROVIDED ON OR THROUGH THIS SITE, ALL OF WHICH ARE PROVIDED ON AN "AS IS" BASIS. FURTHER, NO SITE PARTICIPANT WARRANTS THE ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY OF ANY OF THE INFORMATION, CONTENT OR DATA FOUND ON THIS SITE, INCLUDING, BUT NOT LIMITED TO, ITS AVAILABILITY, ACCESS, ACCURACY OR TIMELINESS, AND SUCH PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND THOSE ARISING BY LAW, COURSE OF DEALING OR USAGE OF TRADE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE FOREGOING DISCLAIMER MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC RIGHTS WHICH MAY VARY FROM JURISDICTION TO JURISDICTION.

11. LIMITATION OF LIABILITY - PROPERTIES OFFERING SERVICES VIA THIS SECCURE-RES SYSTEMS, APPLICATIONS AND SERVICES DO NOT ACT FOR OR ON BEHALF OF SECURE-RES. SECURE-RES SHALL NOT BE LIABLE FOR THE PERFORMANCE OR NON-PERFORMANCE OF ANY SITE PARTICIPANTS, OR FOR ANY CLAIMS OF ANY NATURE ARISING OUT OF ANY SITE PARTICIPANT'S ACTS OR OMISSIONS, BREACH OF CONTRACT, BREACH OF WARRANTY, FAILURE TO PAY COMMISSIONS, OR ANY OTHER CAUSE. IF A GUEST MAKES A RESERVATION THROUGH THE SECURE-RES WEBSITE WHICH IS NOT HONORED BY THE TRAVEL SUPPLIER DUE TO OVERSALE OR THE LACK OF A RECORD OF THE RESERVATION, THE GUEST'S SOLE REMEDY WILL BE AS SET FORTH IN THE TARIFF OF THE REFUSING SUPPLIER OR APPLICABLE TERMS AND CONDITIONS OF THE SUPPLIER'S POLICY AND PROCEDURES.

NO SITE PARTICIPANT ASSUMES RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR, ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN THE SITE OR YOUR DOWNLOADING OF ANY CONTENT, MATERIALS, DATA, TEXT, IMAGES, VIDEO OR AUDIO FROM THE SITE. IN NO EVENT SHALL ANY SITE PARTICIPANT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, DAMAGE, DIRECT OR OTHERWISE, INCLUDING ANY CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT OR INCIDENTAL DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO LOST PROFITS, REVENUE OR SAVINGS), OR ANY COST OR EXPENSE, WHETHER BASED IN CONTRACT, TORT, WARRANTY, STRICT LIABILITY OR OTHERWISE, WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH (A) ANY USE OF THE SITE OR INFORMATION, CONTENT OR
DATA DISPLAYED IN THE SITE, (B) ANY FAILURE OR DELAY (INCLUDING, BUT NOT LIMITED TO THE USE OF OR INABILITY TO USE ANY COMPONENT OF THIS SITE) OR (C) THE PERFORMANCE OR NON PERFORMANCE OF ANY AND ALL SERVICES PROVIDED ON THIS SITE BY ANY SITE PARTICIPANT, EVEN IF THE SITE PARTICIPANT HAS BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES. IF FOR ANY REASON THE FOREGOING LIMITATION DOES NOT APPLY, THE LIABILITY OF ANY AND ALL SITE PARTICIPANTS SHALL NOT EXCEED, IN THE AGGREGATE, THE GREATER OF (a) THE SUBSCRIPTION FEE AND SERVICE CHARGE FOR ACCESSING THIS SITE OR (b) ONE HUNDRED U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS ON LIABILITY, THUS THE FOREGOING LIMITATION(S) MAY NOT APPLY TO YOU. ANY OTHER LIABILITY OWED TO YOU BY ANY SITE PARTICIPANT SHALL NOT ARISE EXCEPT AS MAY BE EXPRESSLY AGREED IN WRITING BETWEEN YOU AND THE SITE PARTICIPANT.

12. GOVERNING LAW AND JURISDICTION - This agreement and its performance shall be governed by the laws of the State of Florida, United States of America, without regard to its conflicts of law provisions. You consent and submit to the jurisdiction of the state and federal courts located in Florida, United States of America, in all questions and controversies arising out of this agreement and your use of the site.

13. MODIFICATION - SECURE-RES may at any time modify these terms and conditions and your continued use of the site will be conditioned upon the terms and conditions in force at the time of your use.

14. ADDITIONAL TERMS
Other terms and conditions may apply to other uses of portions of this site, as may be identified from time to time by site participants. You agree to comply with and abide by such other terms and conditions as a condition to your use of any such services.
